Terms of Service

These Terms of Use ("Terms") govern all use of nightshade.finance (the "Website"), including placing, matching, filling, cancelling or otherwise interacting with orders and digital assets on the exchange (the "Service"). The trading name of the Website is Nightshade Finance.

By accessing or using any part of the Website you agree to be bound by these Terms and any policies published on the site. If you do not agree, do not use the Website. The Website is available only to individuals who are at least 18 years old.

Nightshade is a non‑custodial, decentralized exchange — not a broker, financial institution or creditor. It provides software that lets you interact with an on‑chain order book directly from your own wallet; it does not take custody of your assets or execute trades on your behalf.

Privacy

Our Privacy Policy explains how we handle your personal data. By using the Service you also agree to that policy.

Your responsibilities

You interact with the Service through your own Alephium wallet, and you are solely responsible for its security and for every transaction you sign. You agree not to use the Service for money laundering or any illegal activity, to provide false identifying information, or to access the Service through unauthorised third‑party tools. Where required by law or a competent authority, we may request additional information.

Disclaimers

Except as expressly stated in writing, the Service and all assets tradable on it are provided "as is" and "as available", without warranties of any kind. We do not warrant that the Service will meet your requirements or be uninterrupted, and we disclaim implied warranties of merchantability, fitness for a particular purpose, title and non‑infringement to the fullest extent permitted by law.

We are not liable for losses arising from, among other things: user error (such as mis‑configured orders, forgotten passwords or mistyped addresses); server failure or data loss; corrupted wallet files; unauthorised access; smart‑contract vulnerabilities; or third‑party attacks such as phishing. Digital assets exist only by virtue of the ownership record on the blockchain, and Nightshade does not guarantee it can effect any transfer of title.

Assumption of risk

You acknowledge that: digital‑asset prices are highly volatile and you may lose money; markets with low liquidity can move sharply against you; you are solely responsible for any taxes on your transactions; using internet‑based currency carries inherent technical risks; and the regulatory landscape is uncertain and may change. Trading on an order book is at your own risk, and orders may fill partially, at unexpected prices in fast markets, or not at all.

Limitation of liability

To the fullest extent permitted by law, Nightshade will not be liable for any indirect, consequential, incidental, special or punitive damages, or for lost profits, revenue, goodwill or data. Our maximum aggregate liability arising from the Service will not exceed the greater of the fees we received in connection with the transaction giving rise to the claim and the associated operational costs. Nothing in these Terms limits liability for fraud, or for death or personal injury caused by negligence.

Termination

We may suspend or restrict access to the Website at any time, without notice and at our discretion, and will have no liability to you for doing so.

General

If any provision of these Terms is found invalid, the remainder stays in effect. The content on the Website is general information only and does not constitute legal, financial, investment or tax advice — seek professional advice before acting. You must not introduce viruses or attempt to attack the Website; doing so may be a criminal offence which we will report.

Governing law

For consumers, these Terms and any dispute are governed by English law, with the courts of England and Wales having exclusive jurisdiction (residents of Scotland and Northern Ireland may also bring proceedings locally). For businesses, English law and the exclusive jurisdiction of the courts of England and Wales apply.
